Registered Agents
Three kinds of Registered Agent Representation can fulfill statutory requirement: Commercial Registered Agent: Pursuant to NRS Chapter 77, effective October 1, 2013, any registered agent with 10 or more represented entities is considered a commercial registered agent and must register with the Secretary of State by filing a Commercial Registered Agent Registration, Change or Termination Statement. Existing Commercial Registered Agents were required to resubmit the Commercial Registered Agent Registration, Change or Termination Statement by October 31, 2013, in order to comply with the latest NRS changes. Agents with 10, or more, entities are required to submit the statement within 30 days of reaching the 10-entity threshold. Failure to return the registration may result in further action, including revocation of the authority to serve as a registered agent. There is no fee for registering as a Commercial Registered Agent with the Nevada Secretary of State.

Carson City, NV 89701Once filed as a Commercial Registered Agent, an agent will receive courtesy monthly electronic notification of all entities due for that filing period and past-due and those in default and revoked status. The Commercial Registered Agents will also have access to pre-populated lists that may be electronically forwarded to clients.
A change of information registered in the Commercial Registered Agent Registration (name, address, etc.) may be done by submitting a single Commercial Registered Agent Registration, Change or Termination Statement form and only one filing fee. Such a change will be reflected on each entity represented by the agent.

Significant cost-savings: If you need to change your address and name, only one form and one fee are required to update the information on all entities you represent (without an officer's signature) as opposed to one form (requiring an officer's signature) and one fee per entity.

Additional condition and requirements:
Commercial Registered Agents must provide their full legal name as filed with the Secretary of State and disclose all DBAs, fictitious firm names and websites or domains by which the commercial registered agent will do business in Nevada.
The commercial registered agent must also provide the name and contact information of an individual who has the authority to act on behalf of the commercial registered agent, meaning a natural person who is a manager, owner, officer, director or other natural person with decision-making authority in the day-to-day operations of the commercial registered agent.
NRS Chapter 77 also requires a declaration that the person registering as a commercial registered agent or each director, officer or managing agent of a commercial registered agent has not been convicted of a felony, and if convicted, has had his or her civil rights restored, or had their ability to serve as a registered agent denied or revoked by appropriate authority of this state or another state or enjoined by a court of competent jurisdiction from serving as a registered agent because the individual engaged in conduct as a registered agent that was intended to or likely to deceive or defraud the public.
Noncommercial Registered Agent: Any Individual or Entity with a physical address in Nevada may be a Noncommercial Registered Agent provided they do not act as a registered agent for 10 or more entities on file with the Secretary of State. There is no registration or fee to obtain this status. A Noncommercial Registered Agent wishing to change its own information on record (name, address, etc.) must do so by submitting a separate Registered Agent Acceptance/Statement of Changeform and fee for each represented entity. A Noncommercial Registered Agent may elect to receive monthly electronic notification of all entities due, with NO access to preprinted lists, by filing an Electronic Notification Authorization Form.
Title of Office or Other Position with Entity If the Represented Entity has a physical address in Nevada it may elect to serve as its own registered agent by setting forth a specific office or position (President, Office Manager, Owner, Controller, etc.) within the entity as the Registered Agent. A Represented Entity can change its own contact information or appoint a new Registered Agent by filing out a Registered Agent Acceptance/Statement of Change form.
Please note: Naming a proper person within the position (i.e. John Smith, Controller) will be treated as appointing a person as a Noncommercial Registered Agent rather than designating a position within the Represented Entity.
